Affiliate Agreement

What you agree to when you refer organizations to Emergency Safety Planning, and what we agree to pay you for it.

1. The agreement

This Affiliate Agreement is a binding agreement between MML Inc. d/b/a Memorial Media Links (“Memorial Media Links,” “we,” “us”) and the person or business that applies to and is accepted into the Emergency Safety Planning affiliate program (the “Affiliate” or “you”).

You accept it by checking the box on the application. It takes effect if and when we approve your application. Our Terms of Service and Privacy Policy also apply to your use of the website and your affiliate dashboard.

2. Joining the program

There is no fee to apply or to take part. We review every application and may approve or decline any of them at our discretion, without giving a reason. You must be at least 18 years old, and the details you give us must be accurate and kept up to date.

3. Referrals

  • Your dashboard gives you a personal referral link. An organization is credited to you when it creates a new Emergency Safety Planning account within 90 days of clicking your link, on the same browser.
  • If the organization clicked more than one affiliate’s link, the most recent click wins.
  • Organizations that already had an account, accounts you create for yourself or for an organization you control, and signups we reasonably believe are fake or duplicated are not credited.
  • Our records of clicks, signups and payments decide who is credited. A referral cannot be moved to you after the fact.

4. Commissions

For each payment we receive from an organization credited to you, you earn a commission of that payment at your commission rate. Your current rate is shown on your dashboard. This includes subscription payments, renewals and added buildings or people, and equipment-store orders.

  • Commissions are calculated on what the organization actually paid, excluding taxes. For equipment orders, they are calculated on the goods only, after discounts, excluding shipping and taxes.
  • You keep earning for as long as the organization keeps paying, while this agreement is in effect.
  • We may change the program’s rate or your rate. A change applies only to payments received after it takes effect, and we will tell you by email before it does. Commissions already earned keep the rate they were earned at.

5. Holds, refunds and adjustments

  • Each commission is held for a period after the payment, currently 30 days, before it can be paid. The current hold is shown on your dashboard.
  • If a payment is refunded, reversed or charged back, the commission on it is reduced in the same proportion, or cancelled if refunded in full.
  • If that commission has already been paid to you, the difference is deducted from your future commissions.

6. Payouts through Stripe

Commissions are paid through Stripe Connect to a Stripe account in your name, which you set up from your dashboard. Stripe, not us, collects and holds your identity, bank and tax details, under the Stripe Connected Account Agreement, which you accept with Stripe when you set up your account.

  • We send payouts periodically, normally once a month, covering every commission that has cleared its hold.
  • Until your Stripe account is set up and able to receive transfers, your commissions wait and are paid once it is.
  • Once we have sent a transfer, the timing of its arrival in your bank is up to Stripe and your bank.
  • Payouts are made in U.S. dollars.

7. Taxes

You are responsible for any taxes on your commissions. Stripe collects your tax information when you set up your account, and we use Stripe to issue year-end tax forms (such as Form 1099) where they apply. Commissions are paid without withholding unless Stripe or the law requires otherwise.

8. How you may promote us

You may share your link anywhere honest and appropriate: conversations, email to people who expect to hear from you, your website, newsletters, presentations and social media. You agree to:

  • Make clear, wherever you recommend us, that you may earn a commission. This applies to posts, pages, emails and presentations alike.
  • Describe the product accurately. Do not say that Emergency Safety Planning makes an organization compliant with any law, regulation or standard, or that it replaces professional, legal or emergency services.
  • Do not present yourself as us, or as speaking for us, and do not use our name or logo in a domain name, account name or ad that could be mistaken for ours.
  • Do not bid on “Emergency Safety Planning,” “Memorial Media Links” or close variations of them in paid search ads.
  • Do not send unsolicited bulk email, texts or automated calls. Follow the laws that apply to your own marketing.
  • Do not offer a discount, rebate or payment to an organization for signing up through your link unless we agree to it in writing.

9. Suspension and ending the agreement

  • Either of us may end this agreement at any time by email. Commissions on payments we received before it ended are still paid, after their hold.
  • We may pause your participation or end it immediately if we reasonably believe you have broken this agreement, or that referrals were fake or fraudulent.
  • While you are paused, new payments do not earn commissions, but earlier commissions are still paid.
  • If we end the agreement because of fraud or a serious breach, commissions affected by it are cancelled, and we may recover any of them already paid.

10. Changes to this agreement

We may update this agreement. We will email you at least 14 days before a change in substance takes effect. If you keep taking part after that, you accept the change. If you do not accept it, you can end the agreement before the change takes effect.

11. General terms

  • Independent parties. You are an independent contractor, not our employee, agent or partner, and you may not make commitments on our behalf.
  • Liability. To the extent the law allows, neither of us is liable to the other for indirect or consequential damages. Our total liability under this agreement is limited to the commissions owed to you for the 12 months before the claim.
  • Governing law. This agreement is governed by the laws of the State of New Jersey, and disputes belong in the state or federal courts for Camden County, New Jersey.
  • Entire agreement. This agreement is the entire agreement on its subject. A written agreement signed by both of us controls where it conflicts. If a provision is unenforceable, the rest stays in effect.
